We execute buy mandates either by taking the overall process responsibility, as an “outsourced M&A department, or being a part of the client’s organization and assisting in special M&A related issues.
We begin the buy mandate advisory work by defining and clarifying the requirements of the target together with the client, taking into account the strategic and financial fit. A successful acquisition requires a carefully, jointly with the customer carried out analysis of the position of the target on the market and the future changes, as well as issues, affecting the target and the, with the customer combined business.
Following this we conduct a broad market search and look for right targets, which fulfil the criteria agreed with the client. The potential acquisition target is evaluated thoroughly from business, financial, legal and technological angles. Based on the valuation of the target we make recommendations on the transaction structure, price and payment method to be used to the client.
At the next stage we contact the selected target’s owners, organize management meetings and manage the negotiations according to a mutually, with the customer, agreed plan. During the final negotiations we assist our client to optimize a transaction structure and the terms and conditions, assist in organizing the Due Diligence, coordinate the SPA negotiations as well as assisting in the transaction documentation.
Typical buy mandate situations are:
-Implementation of a growth strategy trough acquisitions. The owners and management of these companies feel the future organic growth to be insufficient, or feel the industry to be under consolidation pressure. We help them in executing their acquisition strategy in Finland or abroad.
-MBO / MBI. People, who have a strong managerial background and who know the company’s operations or the market, are in many cases the most natural buyer candidates.
-Geographical expansion. International groups who e.g. do not yet have operations in Finland, can implement their geographical expansion effectively trough acquisitions.
-PEG’s add-ons. PEG’s core business is to conduct transactions and build larger entities by consolidating markets.
