The sales process begins with analysing the client’s position within the market, conducting a financial analysis, evaluating the strength of the business model together with the future prospects and examining the technical and administrative requirements for the sales process. In addition to a detailed valuation, transaction structure analysis, broad buyer search, and marketing plan including information memorandum or prospectus, we also prepare all the other M&A documentation needed and required in sales process. After this we take direct contact to potential acquirers in Finland and abroad, organize management meetings, optimize the bidding process and lead or co-coordinate the negotiations with the selected bidders.
During the final negotiations we assist our clients to optimize a transaction structure and the terms and conditions, assist in organizing the Due Diligence, coordinate the SPA negotiations and assist in the transaction documentation.
